Terms of Service
Effective date: 1 January 2025
1. Acceptance of Terms
By accessing or using BeaverFlow software or services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.
2. Description of Service
BeaverFlow provides an IT Service Management (ITSM) platform that includes modules for Helpdesk, CMDB, IDM, CRM, Supplier management, Security, Release, CSI, Project management, Capacity planning, and Knowledge management (collectively, the "Components"). The Service is offered in Cloud Shared, Cloud Dedicated, and On-Premise deployment options.
3. Subscription and Payment
Access to the Service is subject to a subscription fee based on the selected maturity level (Starter L1, Growth L2, Enterprise L3), deployment model, and the number of users. Fees are charged in advance on a monthly or annual basis. Annual subscriptions are billed as 10 monthly equivalents (two months free).
All prices are listed in United States Dollars (USD) and are exclusive of applicable taxes. We reserve the right to modify pricing with 30 days' written notice.
4. Trial Period
We may offer a free trial period of up to 3 months. During the trial, access is limited to a maximum of 5 users and all 12 components are available. No credit card is required to start a trial. At the end of the trial, the Service automatically suspends unless you subscribe.
5. Special Programmes
BeaverFlow offers discounted access for qualifying organisations under the following programmes: Startup (companies under 3 years old with annual revenue below $1 million), Non-profit (registered charitable organisations), Education (accredited educational institutions), and CoWork (co-working space operators). Eligibility is verified at onboarding and must be renewed annually.
6. Permitted Use
You may use the Service only for your own internal business operations. You may not resell, sublicense, or transfer the Service to any third party without our express written consent.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data in accordance with applicable data protection laws, including the GDPR.
8. Intellectual Property
All rights, title, and interest in and to the Service (including all software, documentation, and content) remain with BeaverFlow and its licensors. These Terms do not grant you any rights in BeaverFlow's trademarks, logos, or service marks.
9. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAVERFLOW'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law provisions. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Nicosia, Cyprus.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
